END USER LICENCE AGREEMENT (EULA)

This End User Licence Agreement (“Licence” or “Agreement”) is a legally binding agreement between you (natural or legal person) and Van Beek Zakelijke Software, established in Woerden, the Netherlands (“Licensor”), concerning the use of the software module supplied by the Licensor.

1. Definitions

Software:

The FileMaker module for exporting UBL invoices in XML format in accordance with the Peppol BIS Billing 3.0 specification, invoice type 380.

Demo version:

A version of the Software that is intended solely for evaluation and testing purposes and may be functionally limited compared to the Full version.

Full version:

The paid version of the Software that is suitable for production use and is not functionally limited.

2. Licensing

The Licensor grants you a revocable, non-exclusive, non-transferable licence to use the Demo version of the Software for evaluation purposes, solely under the terms and conditions of this Agreement.

Upgrading to the Full Version requires separate payment and registration, and is subject to an additional licence.

3. Use and Restrictions

You agree not to:

• use the Software for commercial purposes while using the Demo Version, except for internal evaluation or testing purposes;
• make modifications, copies (except for backup), distribution, rental, lease or sublicense;
• reverse engineer, decompile or disassemble, unless permitted under mandatory law.

Explanation: It is permitted to use real organisation and invoice data in both the Demo version and the Full version, provided that you are aware that the Demo version may have limitations that could affect the accuracy or usability of the output.

4. Ownership and intellectual property rights

All rights, titles and interests in and to the Software remain with the Licensor. This licence does not grant any ownership rights.

5. Right of withdrawal

By purchasing the Full Version via the internet, you agree that the delivery of digital content will take place immediately and that you expressly waive your right of withdrawal in accordance with Article 6:230p(e) of the Dutch Civil Code.

6. Warranty disclaimer

The Software is provided ‘as is’, without any express or implied warranty.
The generated UBL files technically comply with the Peppol BIS Billing 3.0 specification, but the Licensor does not guarantee that they can be used without modification within your administrative or accounting environment, or that they meet specific requirements of third parties or governments.

The use of real business data in the Demo version is permitted, but is entirely at the user's own risk.

7. Limitation of liability

The Licensor is not liable for any direct or indirect damage, consequential damage, loss of profit or loss of data resulting from the use of the Software. In all cases, liability is limited to the licence fee paid by you.

8. Updates and support

The Licensor may offer updates or support at its own discretion, but is not obliged to do so unless otherwise agreed in writing.

9. Termination

This licence shall automatically terminate if you violate any provision of this Agreement. Upon termination, you must cease using the Software and remove all copies.

10. Applicable law and disputes

This agreement is governed exclusively by Dutch law. Disputes will be submitted exclusively to the competent court in Utrecht.

11. Final provisions

If any provision of this agreement proves to be invalid, the remaining provisions will remain in full force.
This EULA has been drawn up in the Dutch language. In the event of any ambiguity in other languages, the Dutch version of the EULA shall prevail.
This agreement constitutes the entire agreement between the parties regarding the use of the Software.
